REVO Insurance: Board of Directors approves change in the composition of internal committees

Verona, June 15th 2023 - REVO Insurance S.p.A. (“REVO” or the “Company”) announces that the Board of Directors of the Company, which met today, with a view to ensuring a balanced distribution of workloads among the members of the internal committees, approved a change in the composition of the Internal Audit and Risk Committee and the Nomination and Remuneration Committee, appointing, effective 1st July 2023:

- Director Ignazio Rocco di Torrepadula as a member of the Internal Audit and Risk Committee, replacing Ezio Bassi;

- Director Claudio Giraldi as a member of the Nomination and Remuneration Committee, replacing Elena Biffi.

The aforementioned internal Committees will thus be composed, effective 1st July 2023, as follows:

Internal Audit and Risk Committee

- Elena Biffi (Chairwoman);

- Claudio Giraldi;

- Ignazio Rocco di Torrepadula.

Nomination and Remuneration Committee

- Ezio Bassi (Chairman);

- Elena Pistone;

- Claudio Giraldi.

The composition of the Related Party Transactions Committee and the Environmental, Social and Governance (ESG) Committee remains stable and unchanged:

Related Party Transactions Committee

- Elena Pistone (Chairwoman);

- Elena Biffi;

- Ignazio Rocco di Torrrepadula.

Environmental, Social and Governance (ESG) Committee

- Antonia Boccadoro (Chairwoman);

- Alberto Minali;

- Ezio Bassi;

- Elena Pistone.

To allow for the changes in the composition of the committees, the Company's Board of Directors, on today's date, also verified that its members meet the independence requirements pursuant to Legislative Decree No. 58 of February 24, 1998, ("Italian Consolidated Financial Act") and the Corporate Governance Code.

In this regard, it is confirmed that all directors, with the exception of the Chief Executive Officer as an executive director, are independent in accordance with the Italian Consolidated Financial Act and the Corporate Governance Code, as previously verified, and that no changes in this regard have occurred since what was previously communicated.
